President Wosje called the meeting to order at 5:30 p.m.

Recognition of Outgoing Board Member, Jim Booher
Merkley thanked Booher for his nine (9) plus years of service. Booher has held his seat on the Board of Trustees since 2006 and served as Finance Committee Chairman for many years and also as Board Secretary. All Board members expressed their gratitude for Booher’s commitment to Brookings Health System and wished him well. Booher also thanked everyone and shared his extensive history/connection with Brookings Health System that dates back to 1967.

INFORMATIONAL ITEMS
Articles of interest included “Slumping Medicare margins put hospitals on precarious shift”, Modern Healthcare; “Savings at any cost”, Modern Healthcare; “Taking on the Social Determinants of Health”, H&HN; and “Faster, Bigger, and Broader: Healthcare Disruption in 2018”, KaufmanHall Report.

Merkley commented on the Medicare article and the regulatory burden to meet expectations imposed by CMS. The American Hospital Association estimated that health systems, hospitals and post-acute providers spend $39 billion annually complying with regulatory mandates. That equates to $7.6 million for the average-sized community hospital.

Operational

CEO Report
Merkley noted open enrollment for all benefit eligible employees concluded with an increase in the number of employees selecting our health insurance plan and for the third consecutive year, health insurance premiums will remain the same. Merkley also thanked members for their leadership and support during another successful year at Brookings Health System.

CFO Report
Lindemann noted Net Days in A/R continue to look very good with a new record low reached in November of 50 days. The Investment Authority has been moving forward; nine organizations responded to the Investment Manager RFP which the Finance Committee narrowed down to four. Members will be reviewing further criteria in the near future.

CNO Report
Hillestad stated, as we near the end of another great year, we look at comparison data of the previous year and set new goals. In 2017 Brookings Health System surpassed several goals compared to 2016; increases were experienced in Inpatient Care, Home Health/Hospice, Swing Bed/Case Management, OR, OB and others. Hillestad also shared Brookings Health System will be participating in an Opioid Guardianship program through June, 2018 in conjunction with many other hospitals to address the opioid crisis.

Board Committee Reports
Administrative Committee:
Administrative Committee member, Morgan, provided a report; the Administrative Committee met on December 19, 2107. Topics of discussion included Brookings Health System Investment Authority, Orthopedics - Recruitment/Robotics, ENT Recruitment, Reoccurring Calendar Items and the Annual Board and CEO Evaluations. There were no action items.

Building Committee:
Building Committee Chair, Englund, provided a report; the Building Committee met on December 19, 2017. Topics of discussion included Hospital Expansion/Renovation punch list, Yorkshire Eye and Dental Clinic and the Ambulance Garage/Building. There were no action items.

Finance Committee:
Finance Committee Chair, Peterson, provided a report; the Finance Committee met on December 21, 2017. The Committee reviewed and approved November 2017 Financials, Adjustments and Payables. Members also reviewed a summary of proposals submitted for an investment manager for the BHS Investment Authority. The selection was narrowed down to four (4) firms.



Quality Committee:
Quality Committee Chair, Ellsworth, provided a report; the Quality Committee met on December 19, 2017. Topics of discussion included Hospital Culture of Safety Survey, Eye and Tissue Donation, TeamShare and other hospital surveys that have taken place recently. There were no action items.

OLD BUSINESS
Brookings Health System Investment Authority
Merkley noted the ordinance for Investment Authority was approved at the City Council meeting earlier this month. The Finance Committee reviewed in detail nine (9) proposals that were submitted in response to the Investment Manager RFP. Committee members narrowed down the list to four (4) organizations. Further criteria was requested of the remaining four firms in an attempt to eliminate another one or two before potentially requesting on-site interviews. A recommendation will be made to the Brookings Health System Investment Authority Board on a final selection.

Board Calendar – Reoccurring items
An updated calendar of reoccurring items requiring Administrative Committee or Board attention/action was created and provided for final review. Merkley stated, the document was created as a guide for the Board and Administrative Committee action addressing specific items throughout the year such as reappointment or appointment of board members. The document can be updated with new items as needed.

2018 Board/Committee Dates – Final Draft
Members reviewed and accepted the proposed 2018 Board and Committee meeting dates.

Prairie Vista Care Organization
Merkley shared, operational and clinical committees of the Prairie Vista ACO are moving forward. Clinic managers and clinicians have been informed on specific components of the ACO and information was recently received on delineation of members and how many Medicare beneficiaries will be attributed to local physicians. Estimates are Brookings represents approximately 2,600 or 11% of the beneficiary pool.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Peterson to approve the credentialing and re-credentialing as recommended by the Medical Executive Committee.

Action: All present voted yes; motion carried.

2018 Board Officer Elections
Discussion took place regarding Board Officer Positions/Elections. Based upon recommendation from the Administrative Committee, the group was in agreement to continue with the current slate of officers as follows: Walter Wosje as President; James Morgan as Vice President; and Sheila Anderson as Secretary.

A motion was made by Englund, second by Fahrenwald to approve the 2018 Board Officers as stated.

Action: All present voted yes; motion carried.

Q3 Performance Dashboards
A snapshot of performance numbers for Q3 2017 was distributed for the Neighborhoods at Brookview and Hospital. Overall, trends are positive with a few areas of opportunity. Q4 2017 will be provided in February or March after year-end data is compiled.


STRATEGIC DISCUSSION
Annual Board Evaluation
The Administrative Committee reviewed all responses from Board members and compiled results from the evaluation. Anderson stated overall, responses were very positive. All members agree the Board is well structured, informative and follows the Board job description. Ellsworth stated, in the future, it would be helpful to include information from previous years to watch for trends from year to year as well as have a wider scoring scale on the evaluation. All agreed. Anderson was thanked for her work and organization of the evaluation process.


EXECUTIVE SESSION
A motion was made by Englund, second by Morgan to enter into Executive Session at 6:28 p.m. in accordance with SDCL 1-25-2.(1), discussing personnel. Members present were: Wosje, Morgan, Anderson, Booher, Ellsworth, Englund, Fahrenwald, Peterson and Sell. Ex-officio members Kidwiler and Corbett were also present. Motion carried.

While in executive session, the Board discussed the CEO’s performance, considering the Board members’ responses to the CEO evaluation questionnaire, the doctors’ responses to the CEO evaluation survey, and Brookings Health System’s historical financial and quality metrics. Also reviewed were regional hospital and SDAHO CEO compensation comparables. Upon motion by Sell and second by Englund, the executive session concluded at 6:57 p.m. and continued in regular session.

A motion was made by Booher, second by Englund that the 2018 base pay for Merkley be set at $158.19 per hour. Motion carried.

Action: All present voted yes: motion carried.

Board committee assignments for 2018 were also discussed.

Upon motion by Ellsworth, second by Morgan the meeting adjourned at 7:03 p.m.
