INVITED GUEST

ACO/Prairie View Care Organization Update

Merkley welcomed Avera representative, Teri Bergeleen, Director of Provider Contracts and ACO Operations to the WebEx. Bergeleen provided an update on the Accountable Care Organization, Prairie View Care Organization. As a recap, Bergeleen noted the ACO focuses on quality of care (outcomes achieved) versus fee for services performed and develops programs to assist providers in how they care for and manage the patient population of those 65 years of age and older on Medicare. In July of 2019, Brookings Health transitioned to the Enhanced Track ACO (Prairie View) and is one of 28 participating organizations included several specialty care providers with approximately 41k attributed lives. As of January 2020 CMS declared the COVID emergency a Public Health Emergency (PHE) and any losses experienced in the shared savings program will be mitigated under the PHE. Strengths of the Accountable Care journey that are having a positive impact on health outcomes include telehealth, 3-day nursing home waiver and Avera@Home Care Transitions especially post COVID to help keep hospital admissions low. Estimates are currently being processed for 2019 and indications look positive for our ACO to receive some level of shared savings.

EDUCATION

Hyperbaric Oxygen/Wound Care Program

Hillestad presented information regarding Brookings Health System’s wound care program and upcoming plans to expand the service utilizing Hyperbaric Oxygen (HBO) therapy. The wound care program is now located in the vacated old OB unit and offered as an outpatient service by registered nurses with specialized training. A typical patient seeking wound care is referred by a physician and has encountered some sort of skin injury. With HBO therapy, patients breathe 100% oxygen while inside a chamber which enhances the body’s ability to heal, fight infection and prevent limb amputation. Brookings Health is negotiating a partnership with Restorix Health to assist with the program.

Noting the article referencing mental health, Merkley stated it is not surprising mental health continues to be a real challenge especially with the environment we are currently living in; additionally, it is definitely having an impact on the mental health of our workforce. It was nice to see two Brookings Health staff members (Karen Weber and Bunny Christie) receive recognition in the recent MED Magazine for being COVID Heroes.

CEO Report

Merkley noted, the 11th annual Aiming to Inspire Health sporting clays fundraising event was a great success. The event was well organized and raised over $18k to go towards Brookings Health System Foundation COVID-19 Response Fund. Merkley thanked those who participated.  

 

CFO Report

Wagner shared good news from the Medical Health Information department; staff met their goal of 7 days for Discharged Not Final Billed (DNFB). Wagner also provided an update on CARES funds received to date compared to the lost revenues.  To date, $6.4M has been received in CARES funds with lost revenues totaling $6.2M. Wagner will continue to monitor the lost revenues to ensure all CARES funds are accounted for.

CNO Report

Hillestad commented on the continued growth in the Home Health/Hospice department. The Hospice Program recently celebrated their 25 year anniversary and the Home Health Program celebrated their 35 year anniversary. In July they set a record month in the number of admissions. The Ambulance staff recently held a new class, “Safe @ Home” for 4th - 6th grade students on how to stay safe when home alone. The class was held outside and was well attended. All prenatal classes are now being offered via WebEx to comply with CDC physical distancing recommendations.

Administrative Committee Meeting

Committee member Wosje provided a report; the Administrative Committee met on August 18, 2020. Topics of discussion included COVID-19–JasksRBack/Brookings School District, Brookings Futbol Club Sponsorship Agreement, CEO Incentive, General Surgery Recruitment, Prairie View ACO, Hyperbaric Oxygen Chamber Program, Brookings Health System Investment Authority, PSA to FQHC (Primary Care), Board Nominees and Annual Review of Bylaws. 

 

Building Committee Meeting

Committee Chair Englund provided a report; the Building Committee met on August 18, 2020. Topics of discussion included the Parking Lots - Southwest Front Lot and Yorkshire Eye Clinic Lot, Equipment/Loader Garage, Hyperbaric Oxygen Chamber – Site Assessment and Infusion Center update. 

 

Finance Committee:  

Committee Chair Peterson provided a report; the Finance Committee met on August 20, 2020. The committee reviewed and approved the payables, financials and adjustments for June and July, 2020. Discussion also took place regarding the CARES/PPP Funding and Cash Flow History and Projections. Upon review of the cash flow projections, Committee members agreed with the staff proposal to pay down the 2015 Certificate of Participation Series B note by $11M. Currently the Series B has the highest interest rate at 3.95% and the largest outstanding balance (approximately $21M).

 

Quality Committee

Committee Chair Ellsworth provided a report; the Quality Committee met on August 18, 2020. Topics of discussion included Q2 Patient and Resident Safety Reports, Core Measures Dashboard, 2018 mPINC Hospital Report, Q1 2020 Customer Experience Data, and Quality Assurance/Quality Improvement Plan Annual Review.  

 

NEW BUSINESS

Medical Staff Credentialing

Motion was made by Ellsworth, seconded by Wosje to approve the credentialing and re-credentialing for July and August as recommended by the Medical Executive Committee. 

 

Action:  All present voted yes; motion carried.  

 

COVID-19

Merkley stated, staff are gearing up for a busy fall with the cold and flu season soon upon us in addition to the corona virus. Brookings Health has obtained two different analyzers to run COVID tests which provide much quicker results. An additional analyzer will coming in September from the Abbott. With the return of SDSU students, we are seeing an increase in testing and positive cases. We are also seeing an increase in positive cases happening within our workforce at Brookings Health System. We continue to strongly promote the recommended guidelines and that we all need to stay diligent in doing the right things.

 

Hillestad added the C-19 Response Team, consisting of physicians and clinical leaders, recently met to review and update medical protocols, staffing and surge capacity plans. The team feels they are prepared in the event a surge of COVID positives cases happens. 

 

 

 

 

EXECUTIVE SESSION

Motion was made by Ellsworth, seconded by Darnall to enter into Executive Session at 7:25 p.m. in accordance with SDCL 1-25-2.(1), discussing personnel. Members present were: Morgan, Anderson Darnall, Ellsworth, Englund, Krogh, Peterson and Wosje. Motion carried. 

 

While in executive session, Morgan reviewed potential revisions and options for the CEO’s compensation discretionary bonus structure. The board engaged in discussion. Upon motion by Anderson, second by Darnall the Executive Session concluded at 8:05 p.m.  No action was taken. 

 

Upon motion by Krogh, second by England the meeting adjourned at 8:06 p.m.
