CNO Report
Hillestad commented, through a grant from the Brookings Rotary Club, the parents of each baby born in 2019 will receive a “Brain Game” book. The Brain Game book was undertaken to provide the latest research on early childhood developmental goals, brain development, and senses. 400 books were received as part of the grant.

Board Committee Reports
Administrative Committee:
Committee member Morgan provided a report; the Administrative Committee met on December 18, 2018. Topics of discussion included Bartley Optical, 2019 Committee Assignments, Board Officer Elections, Legislative Forum, February Board Meeting and Board/CEO Evaluations.

Building Committee:
Committee Chair Englund provided a report; the Building Committee met on December 18, 2018. Topics of discussion included the Ambulance Station & Education Center, 2nd Floor Medical Plaza Update, 2nd Floor Old OB Unit, and Yorkshire Eye Clinic Dental Area.

Finance Committee:
Committee Chair Peterson provided a report; the Finance Committee met on December 20, 2018. The Committee reviewed and approved November 2018 Financials, Adjustments and Payables. Other topics of discussion included an update on Drug Expenses and 2018 Prairie Vista ACO Data.
Quality Committee:
Committee Chair Ellsworth provided a report; the Quality Committee met on December 18, 2018. Topics of discussion included Nursing Competencies Summary, Performance Improvement Projects Update, Contracted Patient Services Report and a review on Blood Utilization.


OLD BUSINESS
2019 Board/Committee Dates – Final Draft
Members agreed to finalize the 2019 Board and Committee meeting date schedule. Board of Trustees meetings will be held on the last Monday of each month versus Thursday and all meetings will be eliminated in the months of May and July. The Quality Committee meeting will be held at 1:30 p.m., Administrative Committee at 2:30 p.m. and the Building Committee meeting will be held at 3:30 p.m.

AHA Rural Healthcare Leadership Conference
Merkley stated registration, travel and hotel arrangements to the Rural Healthcare Leadership Conference have been completed. Board member attendees include Englund, Anderson and Darnall. Board members from Huron, Watertown and Madison will also be in attendance.


NEW BUSINESS
BHS Board Bylaws
Merkley noted, due to the upcoming change in 2019 on the frequency of board meetings, a redlined version of page 10 strikes “monthly” from Sec. 4.3. as board meetings will not be held in the months of May and July.

A motion was made by Darnall, seconded by Morgan to approve the bylaws with revision.

Action: All present voted yes; motion carried.

Medical Staff Credentialing
A motion was made by Ellsworth, seconded by Englund to approve the credentialing as recommended by the Medical Executive Committee.

Action: All present voted yes; motion carried.

2019 Board Officer Elections
Discussion took place regarding Board Officer Positions/Elections. Based on the discussion, the members were in agreement to elect James Morgan as President, Daryl Englund as Vice President and Sheila Anderson as Secretary.

A motion was made by Sell, seconded by Peterson to approve the 2019 Board Officers as stated.

Action: All present voted yes; motion carried.



2019 Board Committee Assignments
Morgan provided recommendations for each of the board committees. There were no other suggestions or changes made. All Committee assignments were finalized.


STRATEGIC DISCUSSION
Annual Board Evaluation
The Administrative Committee reviewed all responses from Board members and compiled results from evaluation forms. Anderson stated overall, responses were very positive. Comments provided on the evaluation forms were discussed. Wosje stated members seem pleased with the new meeting schedule and any comments or suggestions for next year’s evaluation would be welcome.


EXECUTIVE SESSION
A motion was made by Darnall, seconded by Morgan to enter into Executive Session at 6:25 p.m. in accordance with SDCL 1-25-2.(1), discussing personnel. Members present were: Wosje, Morgan, Anderson (via ph.), Darnall, Davidson (via ph.) Ellsworth, Englund, Peterson and Sell. Ex-officio members Kidwiler and Hansen were also present. Motion carried.

While in executive session, the Board discussed the CEO’s performance, considering the Board members’ responses to the CEO evaluation questionnaire, the doctors’ responses to the CEO evaluation survey, and Brookings Health System’s historical financial and quality metrics. Also reviewed were regional hospital and SDAHO CEO compensation comparables. Upon motion by Peterson and second by Darnall, the executive session concluded at 6:57 p.m. and continued in regular session.

A motion was made by Anderson, seconded by Davidson that the 2019 base pay for Merkley be set at $168.27 per hour.

Action: All present voted yes; motion carried.

A motion was made by Anderson, seconded by Davidson to approve the 2019 incentive compensation formula.

Action: All present voted yes; motion carried.

Further discussion took place regarding board meeting start time.

All present thanked Walt Wosje for the good work done leading as President the last two years.

CNO Report

Hillestad commented, through a grant from the Brookings Rotary Club, the parents of each baby born in 2019 will receive a “Brain Game” book. The Brain Game book was undertaken to provide the latest research on early childhood developmental goals, brain development, and senses. 400 books were received as part of the grant.

2019 Board/Committee Dates – Final Draft

Members agreed to finalize the 2019 Board and Committee meeting date schedule. Board of Trustees meetings will be held on the last Monday of each month versus Thursday and all meetings will be eliminated in the months of May and July. The Quality Committee meeting will be held at 1:30 p.m., Administrative Committee at 2:30 p.m. and the Building Committee meeting will be held at 3:30 p.m.    

 

AHA Rural Healthcare Leadership Conference

Merkley stated registration, travel and hotel arrangements to the Rural Healthcare Leadership Conference have been completed. Board member attendees include Englund, Anderson and Darnall.  Board members from Huron, Watertown and Madison will also be in attendance.  

NEW BUSINESS

BHS Board Bylaws

Merkley noted, due to the upcoming change in 2019 on the frequency of board meetings, a redlined version of page 10 strikes “monthly” from Sec. 4.3. as board meetings will not be held in the months of May and July.

A motion was made by Darnall, seconded by Morgan to approve the bylaws with revision.

Medical Staff Credentialing

A motion was made by Ellsworth, seconded by Englund to approve the credentialing as recommended by the Medical Executive Committee.

2019 Board Officer Elections

Discussion took place regarding Board Officer Positions/Elections. Based on the discussion, the members were in agreement to elect James Morgan as President, Daryl Englund as Vice President and Sheila Anderson as Secretary.

A motion was made by Sell, seconded by Peterson to approve the 2019 Board Officers as stated.   

Action: All present voted yes; motion carried.

 

 

 

2019 Board Committee Assignments

Morgan provided recommendations for each of the board committees. There were no other suggestions or changes made. All Committee assignments were finalized.

 

 

STRATEGIC DISCUSSION

Annual Board Evaluation

The Administrative Committee reviewed all responses from Board members and compiled results from evaluation forms. Anderson stated overall, responses were very positive. Comments provided on the evaluation forms were discussed. Wosje stated members seem pleased with the new meeting schedule and any comments or suggestions for next year’s evaluation would be welcome.

EXECUTIVE SESSION

A motion was made by Darnall, seconded by Morgan to enter into Executive Session at 6:25 p.m. in accordance with SDCL 1-25-2.(1), discussing personnel.  Members present were:  Wosje, Morgan, Anderson (via ph.), Darnall, Davidson (via ph.) Ellsworth, Englund, Peterson and Sell. Ex-officio members Kidwiler and Hansen were also present. Motion carried.

While in executive session, the Board discussed the CEO’s performance, considering the Board members’ responses to the CEO evaluation questionnaire, the doctors’ responses to the CEO evaluation survey, and Brookings Health System’s historical financial and quality metrics. Also reviewed were regional hospital and SDAHO CEO compensation comparables. Upon motion by Peterson and second by Darnall, the executive session concluded at 6:57 p.m. and continued in regular session. 

A motion was made by Anderson, seconded by Davidson that the 2019 base pay for Merkley be set at $168.27 per hour.    

Action: All present voted yes; motion carried.

A motion was made by Anderson, seconded by Davidson to approve the 2019 incentive compensation formula.

            Action: All present voted yes; motion carried.

Further discussion took place regarding board meeting start time.

All present thanked Walt Wosje for the good work done leading as President the last two years.

Upon motion by Ellsworth, second by Englund the meeting adjourned at 7:00 p.m.
